IMPORTANT-READ CAREFULLY: UNITED FARMER IS OWNED, MANAGED AND OPERATED BY AMERIGO GMBH.THIS AGREEMENT CONTAINS THE TERMS AND CONDITIONS THAT GOVERN YOUR ACCESS TO AND USE OF THE SERVICES THROUGH A PARTICULAR ACCOUNT AND IS AN AGREEMENT BETWEEN YOU OR THE BUSINESS YOU REPRESENT ("YOU") AND UNITED FARMER. BY REGISTERING, YOU (ON BEHALF OF YOURSELF OR THE BUSINESS YOU REPRESENT) AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU MUST NOT AGREE & ACCEPT THIS AGREEMENT.NOW, BY CLICKING ACCEPT, YOU AGREE THE TERMS OF THIS AGREEMENT.

DEFINITIONS

"Account" means an account made by you enabling a yourself to access and use the united farmer site for listing and selling your produce.

"Business Days" means any weekday other than a bank or public holiday in Switzerland.

"Customer" means the shopper, end-user, designated buyer of the said produce from the Seller.

"Confidential Information" means information relating to us, to the platform or the united farmer customers that is not known to the general public including, but not limited to, any information identifying or unique to specific customers; reports, insights, and other information about the Services, data derived from the Services except for data (other than customer personal data) arising from the sale of your products comprising of products sold, prices, sales, volumes and time of the transaction; and technical or operational specifications relating to the Services. For the purposes of this Agreement, customer personal data constitutes Confidential Information at all times.

"Purchase Price" means the total gross amount payable or paid by a customer for Your Product (including taxes and customs duties).

"United farmer site" means www.unitedfarmer.net

SELLING ON UNITED-FARMER (SERVICE TERMS)

The selling on United farmer site is a Service that allows you to list produce for sale directly via the site.

KNOW YOUR CUSTOMER & VERIFYING PROCESS

You must fill and complete the registration process to unable and thereby generate a seller account, that being subjected to the KYC ("Know your customer") as per and in accordance to law, for identifying the identity of the seller when opening an account with our site in order to mitigate any risk and verify the veracity of the seller per se. We shall ask information that shall not limited to the following for verifying your account, namely:

YOUR PRODUCT LISTINGS & ORDER

Produce Information

You have to provide accurate and complete required product information for each product that you make available to be listed for sale through the United farmer site and promptly update such information as necessary to ensure it at all times remains accurate and complete. You will also ensure that your produce (including packaging) and your offer and subsequent sale of any of the same on our site shall comply with all applicable Laws (including all marking and labeling requirements) and do not contain unlawful materials. For each item you list on the Site, you will provide to us the state or country from which the item ships as provided in this Agreement.

Product Listing

We will list your designated produce after due diligence and verifying the account in the first instance and categorize after due intimation with regard to the said account being authenticated, thereafter the said concerned products listed will be made available for sale on our site that is in the applicable product categories and promote Your Produce therein. United farmer reserves its right to restrict at any time in its sole discretion the access to list in any or all categories on our site. We shall use mechanisms that rate, or allow customers to rate, Your Products and/or your performance as a seller on our site, and thus such feedback will be available for the public at large. We will provide Order Information to you for each of Your Transactions.

Shipping and handling Charges

The handling of delivery of Goods so ordered by the Buyer from You, the Seller shall be provided with the option of logistics help from ________, for which the Buyer will pay additionally within the total amount.

Credit Card Fraud

This will be dealt as per and in accordance to law.

SALE & DELIVERY

You will source, sell, perform by way of packaging the produce with all safety protocols along with the invoice bearing the requisite as mentioned in this Agreement and deliver the same produce to the concerned address as designated from the customer , furthermore the estimated time for shipping must also be disclosed accordingly to the customer in the checkout phase within the site and you shall not be permitted to cancel the order except on account of a force majeure event, you are encouraged to deliver the same subject to informing the us and we inform the customer accordingly.

Unless otherwise expressly agreed upon between the you & the Buyer/customer, delivery of the produce purchased hereunder shall be completed as informed to the Buyer/Customer. In the event that the you fail to deliver any goods requested in an order within the period as mentioned hereinabove, the Customer shall provide a 03 (three) days grace period, additionally in case of delay in the grace period, reasons for further delay must be communicated to Us and provide maximum timeframe for the same delivery to the customer.

The title to the produce sold by you to the Buyer/customer hereunder shall pass to the Buyer/customer.

In case of any delay how so ever, you shall issue a refund in case the circumstances have become extenuating and shall be in accordance with the "Returns & Refunds"

RETURNS & REFUNDS

You will accept and process returns subject to specifically mentioning that this product is refundable on account of being defective in nature.

DELIVERY ERRORS AND NONCONFORMITIES

You are responsible for any delivery errors such as non-delivery, misdelivery or wrong delivery. You are also responsible for any non-conformity or defect in any of the produce you have sold. It is your duty to notify us on becoming aware and having knowledge of such an incident.

SALE & DELIVERY

The risks of damage to such goods sold hereunder shall be quantified as below:-

• In case the produce are received as damaged, the buyer will return the produce as mentioned in this Agreement, here you will bear the cost of shipping and shall further initiate a refund and/or re-deliver quality produce without any latent defects.

RISK OF LOSS

The risk of loss from any causality to the goods, regardless of the cause, shall be on You until the goods have been accepted by the customer at their designated address.

TAX

For Avoidance of doubt, you agree that, the price stated by you for Your Produce is inclusive of all taxes, customs duty, excise duty or other tax or levy that may be required to be remitted in connection with such sale.

LIMITATION OF LIABILITY

WE WILL NOT BE LIABLE (WHETHER IN CONTRACT, WARRANTY, TORT, DELICT INCLUDING NEGLIGENCE, PRODUCT LIABILITY, ANY TYPE OF CIVIL RESPONSIBILITY OR OTHER THEORY) OR OTHERWISE) TO YOU OR ANY OTHER PERSON FOR COST OF COVER, RECOVERY OR RECOUPMENT OF ANY INVESTMENT MADE BY YOU IN CONNECTION WITH THIS AGREEMENT, OR FOR ANY LOSS OF PROFIT, REVENUE, BUSINESS, OR DATA OR PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT.

TERM

The term of this Agreement will start on the date of your completed registration Along with the "KYC" verification process thereafter will you be able to start listing your specified produce and sell the same and continue until terminated by us or you as provided in the Suspension & Termination.

SUSPENSION & TERMINATION

We may suspend your use of using the site for selling your produce or terminate this Agreement for convenience with 30 days of advance notice. We may suspend or terminate your use of the site Services immediately if we determine that you have breached this Agreement and failed to cure it within a Week’s notice unless your breach exposes us to liability towards a third party, in which case we are entitled to reduce, or waive, the aforementioned cure period at our reasonable discretion, Your account has been used for deceptive or fraud and against the "KYC" verification process. You have the right to appeal against the said suspension by way of email bearing reference no. for speedy adjudication on merits.

You may at any time terminate your use of any Service immediately on notice to us via user interface, E-mail or similar means provided in the site therein.

LICENCE

You grant us a royalty-free, non-exclusive, worldwide right and licence for the duration of your original and derivative intellectual property rights during the Term and for as long thereafter as you are permitted to grant the said licence under applicable Law to use any and all of Your Produce images for the purposes of promoting them howsoever under the ambit of our site, provided however, that we will not alter any of Your Trademarks as listed on the pictures provided (except to re-size trademarks to the extent necessary for presentation, so long as the relative proportions of such trademarks remain the same).

PRIVACY POLICY & PERSONAL DATA

This shall be same as mentioned in the Privacy Policy of our site.

For avoidance of doubt; you Shall:

• keep the Customer Confidential Information strictly confidential;
• Not disclose the Customer Confidential Information to any person without the Customer's prior written consent;
• Use the same degree of care to protect the confidentiality of the Customer Confidential Information as You the seller uses to protect your own confidential information of a similar nature, being at least a reasonable degree of care;
• Act in good faith at all times in relation to the Customer Confidential Information; and
• Not use any of the Customer Confidential Information for any purpose.

HOWEVER, PROVIDER HAS NO OBLIGATIONS WITH RESPECT TO CUSTOMER CONFIDENTIAL INFORMATION THAT:

• Is known to You before disclosure under this Agreement and is not subject to any other obligation of confidentiality;
• Is or becomes publicly known through no act or default of the seller; or
• Is obtained by you from a third party in circumstances where you have no reason to believe that there has been a breach of an obligation of confidentiality.

THE RESTRICTIONS DO NOT APPLY TO THE EXTENT THAT ANY CUSTOMER CONFIDENTIAL INFORMATION IS REQUIRED TO BE DISCLOSED BY ANY LAW OR REGULATION, BY ANY JUDICIAL OR GOVERNMENTAL ORDER OR REQUEST, OR PURSUANT TO DISCLOSURE REQUIREMENTS RELATING TO THE LISTING OF THE STOCK OF THE SELLERS ON ANY RECOGNISED STOCK EXCHANGE.

WARRANTIES

You warrant to Us that:

• You have the legal right and authority to enter into this Agreement and to perform its obligations under this Agreement;
• You will comply with all applicable legal and regulatory requirements applying to the exercise of our rights and the fulfilment of our obligations under this Agreement; and
• You have access to all necessary know-how, expertise and experience to perform its obligations under this Agreement.
• You warrant that the goods are now free, and that at the time of delivery shall be free from any security interest or other lien or encumbrance.
• You warrant that at the time of signing this Agreement, You neither know, nor has reason to know, of the existence of any outstanding title or claim of the title hostile to the rights of selling the listed produce on our site.

WHEREAS We warrant to You that:

• Our Site will conform in all respects and incorporate security features reflecting the requirements of good industry practice.
• Our Site will not breach any laws, statutes or regulations under any applicable law and will not infringe the Intellectual Property Rights of any person in any jurisdiction and under any applicable law.
• We have the legal right and authority to enter into this Agreement and to perform its obligations under this Agreement.

ACKNOWLEDGEMENTS AND WARRANTY LIMITATIONS:

You acknowledge that the site is never wholly free from defects, security vulnerabilities errors and bugs; and subject to the other provisions of this Agreement, We give no warranty or representation that site will be wholly free from defects, errors and bugs though the best practices are conducted by us.

You acknowledge that complex s is never entirely free from security vulnerabilities; and subject to the other provisions of this Agreement, We give no warranty or representation that our Site is entirely secure, though the best practices are conducted by us per se.

You acknowledge that we will not provide any legal, financial, accountancy or taxation advice under this Agreement.

LIMITATIONS AND EXCLUSIONS OF LIABILITY

Nothing in this Agreement will:

• Limit or exclude any liability for fraud or fraudulent misrepresentation;
• Limit any liabilities in any way that is not permitted under applicable law; or
• Exclude any liabilities that may not be excluded under applicable law.

RELATIONSHIP OF PARTIES

You & We are independent Contractors, and nothing in this Agreement will be construed to create a partnership, joint venture, association of persons, agency, franchise, sales representative, or employment relationship between the parties. We are a mere medium to broaden a seller portfolio and attract customers, moreover we are not an intermediary between the customer and the seller. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that would contradict anything in this section. This Agreement will not create an exclusive relationship between you and us.

INDEMNIFICATION

You agree to defend, indemnify and hold us harmless and employees from all damages, liabilities and expenses (including reasonable legal costs including attorney fees) arising out of or in connection with any breach or alleged breach by you (or anyone acting on your behalf) of any of the terms of this agreement.

SUPPORT SERVICES

We shall provide support Service to You on an as is basis , meaning thereby as and when the need to raise a ticket with by way of email at info@amerigoadvisory.ch shall be dealt with accordingly, furthermore we shall make available to you a helpdesk and shall provide the Support Services in accordance with the standards of skill and care reasonably expected from a leading service provider.

INTELLECTUAL PROPERTY

All contents made available by us as a interface platform are the rights reserved with us only against everyone in the world.

SECURITY PROTOCOL

We will maintain and enforce safety and physical security procedures with respect to the entirety of the site.

FORCE MAJEURE

Neither party shall be liable to the other for any future to perform any obligation under any contract which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, or military authority, uprising, earthquake, flood or any other natural or manmade eventuality outside the control of you, which causes the termination of a contract entered into, nor which could have been reasonably foreseen. Any party affected by such event shall forthwith inform the other party of the same and shall use all reasonable endeavours to comply with the terms and conditions of any contract contained herein.

CORPORATE AUTHORITY/FURTHER ASSURANCES

Each party represents it has taken all necessary corporate action to authorize the execution and consummation of this Agreement and will furnish the other party with satisfactory evidence of same upon request. Each party agrees to negotiate in good faith the execution of such other documents or agreements as may be necessary or desirable for the implementation of this Agreement and the effective execution of the transactions contemplated hereby and shall continue to do so during the Term of this Agreement.

ONLINE DISPUTE RESOLUTION

Disclaimer:

We are a platform that Buyers and Sellers utilize to meet and interact with one another for their transactions. We are not and cannot be a party to or control in any manner any transaction between the platforms Buyers and Sellers.

That all Transactional terms are offered by and agreed to between Buyers and Sellers alone. These terms include without limitation price, shipping costs, payment methods, payment terms, date, period and mode of delivery, custom duty, taxes related to the Goods.

We do not have any control or do not determine or advise or in any way involve itself in the offering or acceptance of such terms between the Buyers and Sellers.

Placement of order by a Buyer with Seller on the Platform is an offer to buy the Goods in the order by the Buyer to the Seller and it shall not be construed as Seller's acceptance of Buyer's offer to buy the Goods ordered. The Seller retains the right to cancel any such order placed by the Buyer, at its sole discretion and the Buyer shall be intimated of the same by way of an email or by notification within the platform.

Any transaction price paid by Buyer in case of such cancellation by Seller, shall be refunded to the Buyer.

We are not responsible for any non-performance or breach of any contract entered into between Buyers and Sellers. WE HOWEVER provide an Online process to Mediate and negotiate the issue(s) amicably.

We are only a platform that can be utilized by Buyers and Sellers to reach a larger base to buy and sell Goods. For avoidance of doubt, we are only providing a platform for communication, and it is agreed that the contract for sale of any of the Goods shall be a strictly bipartite contract between the Seller and the Buyer.

Whenever there is a disagreement, the Buyer and Seller can contact us at dispute@amerigoadvisory.ch

Now, It will be the duty of the Buyer and Seller to reach an agreement to resolve all disputes.

In the event of any difference or dispute arising between the Seller or Buyer to the transaction via our Platform, the Parties to the dispute hereby agree unconditionally to resolve the dispute in question and agreeing to use Us to mediate the issue.

COMMISSION/CHARGES

We shall charge a commission at a nominal rate for each purchase on our platform. We reserve the right to change the Charge of Commission from time to time.

MISCELLANEOUS PROVISIONS

RIGHT OF INSPECTION

Customer shall have the right to inspect the goods on arrival and, within 02 (Two) business days after delivery, buyer must give notice to the You of any claim for refund and/or replacement on account of condition, quality or grade of the goods, and buyer must specify the basis of the claim of buyer in detail.

DISCLAIMER

The United-Farmer Site & its services, INCLUDING ALL CONTENT, SOFTWARE, FUNCTIONS, MATERIALS AND INFORMATION AVAILABLE OR PROVIDED IN CONNECTION WITH THE SITE, ARE PROVIDED "AS-IS". WE DO NOT WARRANT THAT THE FUNCTIONS CONTAINED IN OUR SITE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE, TIMELY, SECURE, UNINTERRUPTED OR ERROR FREE, AND WE WILL NOT BE LIABLE FOR ANY SERVICE INTERRUPTIONS, INCLUDING, BUT NOT LIMITED TO SYSTEM FAILURES OR OTHER INTERRUPTIONS THAT MAY AFFECT THE RECEIPT, PROCESSING, ACCEPTANCE, COMPLETION OR SETTLEMENT OF ANY TRANSACTIONS. SOME JURISDICTIONS' LAWS DO NOT ALLOW EXCLUSION OF AN IMPLIED WARRANTY. IN WHICH CASE THE FOREGOING DISCLAIMER MAY NOT APPLY TO YOU, AND WE DISCLAIM TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON- INFRINGEMENT OR QUIET ENJOYMENT. FURTHERMORE, SINCE WE ARE NOT INVOLVED IN TRANSACTIONS BETWEEN CUSTOMERS AND SELLERS OR OTHER PARTICIPANT DEALINGS, IF A DISPUTE ARISES BETWEEN ONE OR MORE PARTICIPANTS, EACH OF YOU RELEASE US OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES.
